Terms of Service

1. Agreement and who we are

These Terms of Service ("Terms") are a binding agreement between you and ZEN CHAN LLC, a New Mexico limited liability company (business ID 0008136362) ("ZEN CHAN LLC", "we", "us" or "our"), which operates the LufsReady service at lufsready.com, including the website, dashboard, free tools and API (together, the "Service").

By creating an account, buying minutes or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Refund Policy and our Acceptable Use Policy, which form part of these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it, and "you" includes that organization.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live if higher, and able to form a binding contract. You may not use the Service if you are barred from doing so under applicable law, including United States sanctions and export laws.

3. The Service

LufsReady is an online audio mastering service for spoken-word recordings. You upload an audio or video file that you own or are authorized to use, choose a delivery preset or custom target, and receive a processed ("mastered") audio file together with a measurement report. Processing uses digital signal processing (filtering, noise reduction, dynamics, loudness normalization and limiting). It does not use generative AI and does not alter the words spoken.

We also offer free tools that analyze audio entirely in your web browser; files used with those tools are not uploaded to us.

We may improve, change or discontinue features. If we discontinue the paid Service entirely, we will give at least 30 days' notice and refund the unused portion of any minutes purchased in the previous 12 months, pro rata.

4. Your account

• Provide a valid email address you control. You must confirm it before receiving free welcome minutes.
• Keep your password and API keys confidential. You are responsible for activity under your account and keys. Tell us promptly at contact@lufsready.com if you suspect unauthorized use.
• One person or organization per account. Creating multiple accounts to obtain additional free minutes is not allowed.
• You can close your account at any time from Settings. Closing an account deletes your files and API keys immediately; unused minutes are forfeited unless they qualify for a refund under the Refund Policy.

5. Prices, payment and delivery

What you buy. The Service is sold as one-time packs of processing minutes ("minutes"). Current packs: Starter: $29 for 600 minutes (10 hours); Creator: $39 for 1,200 minutes (20 hours); Pro: $69 for 3,000 minutes (50 hours). Prices are shown in US dollars on our pricing page and at checkout before you pay. Sales tax or VAT is added at checkout where it applies.

No subscription. Packs do not renew and you will not be charged again unless you place a new order.

Payment. Payments are processed by Whop, Inc. ("Whop"), our payment processor, which handles the secure checkout and card processing, and emails your payment receipt. Your payment is also subject to Whop's terms. We do not receive or store your full card details.

Delivery. Minutes are digital and are delivered automatically to your account as soon as the payment is confirmed, normally within a minute. You will see them on the Billing page and receive an email confirmation. If minutes do not appear within one hour of a successful payment, contact contact@lufsready.com with your receipt and we will add them or refund you.

How minutes are used. Each processed file uses its duration in minutes, rounded up to the next whole minute, charged when the file is accepted for processing. Re-processing a file with different settings is a new job and is charged again. If a job fails, its minutes are returned to your balance automatically. Welcome minutes (60 minutes per account) have no cash value.

Validity. Purchased minutes are valid for 12 months from the purchase date and expire after that. Minutes are used in order of expiry. Minutes are not money, have no cash value, cannot be exchanged for cash, transferred to another account or resold, and do not earn interest.

Price changes. We may change prices for future purchases. Changes never affect minutes you have already bought.

6. Refunds and payment disputes

Within 14 days of purchase, a pack that is less than 50% used is refunded in full on request. Details, including your statutory rights, are in the Refund Policy.

If you have a problem with a charge, please contact us first at contact@lufsready.com; we respond within one business day and resolve most billing questions the same day. If a payment is disputed or reversed, the minutes from that purchase are removed, and the account may be restricted while the dispute is open.

7. Your content

Ownership. You keep all rights in the audio and video you upload ("Your Content") and in the mastered files we produce from it. We claim no ownership.

Permission to process. You grant ZEN CHAN LLC a limited, worldwide, non-exclusive, royalty-free license to store, copy, decode, process and transmit Your Content solely to provide the Service to you (for example, to master a file, generate its report and waveform, and let you download it). This license ends when Your Content is deleted. We do not use Your Content to train machine-learning models, do not share it except with the service providers listed in our Privacy Policy, and do not listen to it unless you ask us to investigate a problem with a specific file.

Your responsibilities. You confirm that you own Your Content or have all rights, licenses and consents needed to upload and process it, including the consent of people whose voices are recorded where the law requires it, and that it complies with our Acceptable Use Policy.

Retention. Uploaded files and mastered files are deleted automatically 7 days after upload, or earlier if you delete them. Keep your own copies. We are not a storage or backup service.

Copyright complaints. If you believe content processed through the Service infringes your copyright, send a notice to contact@lufsready.com identifying the work, the material and your contact details, with a statement of good-faith belief and accuracy. We will respond promptly and may suspend accounts of repeat infringers.

8. Acceptable use

You must use the Service in compliance with the law and our Acceptable Use Policy. In particular you may not upload content you have no right to process, attempt to break or overload the Service, reverse engineer it except where the law allows, resell access to it as a competing service, or use it for fraudulent or deceptive purposes.

9. API

Accounts with API access may create API keys. Keys are confidential and tied to your account; usage through a key is charged to your balance like any other job. We may apply reasonable rate and concurrency limits (currently up to 5 files in progress per account) and may revoke keys that are compromised or used in breach of these Terms. 10. Our intellectual property

The Service, including its software, design, text, presets and reports, belongs to ZEN CHAN LLC or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. The Service uses open-source software (including FFmpeg) under its respective licenses. "LufsReady" and our logo are our trademarks; third-party names such as ACX, Audible, Apple Podcasts, Spotify, YouTube, EBU and ATSC belong to their owners and are used only to describe compatibility with published standards. We are not affiliated with or endorsed by them.

11. Disclaimers

We work hard to make mastering accurate and the reports correct, and each report states the values measured on the delivered file. However, platform acceptance depends on factors outside our control (such as content quality reviews, metadata, editing and each platform's current rules). We do not guarantee that any platform will accept your files, that the Service will be uninterrupted or error-free, or that mastering can fix problems recorded into the source (such as clipping, distortion, echo or sudden noises).

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes warranties or rights that cannot be excluded under the law that applies to you as a consumer.

12. Limitation of liability

To the fullest extent permitted by law: (a) ZEN CHAN LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and (b) our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or US$50.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

13. Indemnity

If you use the Service for business purposes, you will defend and indemnify ZEN CHAN LLC against third-party claims arising from Your Content or your breach of these Terms or the law, including reasonable legal costs, except to the extent caused by our own breach.

14. Suspension and termination

We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, creates legal or security risk, or is involved in fraud or payment abuse. Where reasonable we will notify you first and give you a chance to fix the issue. If we close your account without cause, we will refund your unused purchased minutes pro rata. Sections 6, 7 (ownership and retention), 10 to 13, 15 and 17 survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at contact@lufsready.com and try to resolve the dispute informally for 30 days. If it is not resolved, disputes will be decided exclusively by the state and federal courts located in Bernalillo County, New Mexico, and both parties consent to their jurisdiction; either party may instead bring an individual claim in small-claims court where it qualifies.

If you are a consumer living in the European Union, the United Kingdom or another country whose laws give you the right to bring claims in your home courts or under your local consumer law, nothing in this section takes away those mandatory rights. EU consumers may also use the European Commission's online dispute resolution information.

16. Changes to these Terms

We may update these Terms. For material changes we will give at least 14 days' notice by email or in the dashboard before they take effect. Changes do not apply retroactively to minutes already purchased. If you do not agree, stop using the Service and you may request a refund of unused minutes bought in the previous 14 days.

17. General

These Terms are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of the Service with notice to you. Notices to us must be sent to contact@lufsready.com and, for formal legal notices, also by post to our mailing address. We send notices to the email address on your account.
